Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of all websites, platforms, memberships, programs, events, communications, tools, and services operated by Florida Professionals Association LLC (“Florida Professionals Association,” “we,” “us,” or “our”).

By accessing or using any part of our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue use of all services.

1. Acceptance of Terms

By using Florida Professionals Association services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you object to any portion of these Terms, your sole remedy is to discontinue use of the services.

2. Modifications to These Terms

Florida Professionals Association reserves the right to change, modify, or update these Terms at any time. Changes become effective immediately upon posting. Continued use of the services after changes are posted constitutes acceptance of the revised Terms.

3. Eligibility and Membership

Membership is available to individuals and businesses based in or serving Florida and is limited to users who are at least 18 years of age. You agree to provide accurate, current, and complete information when registering.

Florida Professionals Association reserves the right, at its sole discretion, to approve, deny, suspend, or revoke membership or access for violations of these Terms, misuse of platforms, or conduct inconsistent with the mission or integrity of Florida Professionals Association.

4. Membership Fees, Billing, and Refund Policy (IMPORTANT)

4(a) Membership Pricing and Billing

Membership pricing is stated at the time of purchase. Membership fees are billed annually and paid in full at the start of each 365-day billing cycle. Memberships automatically renew unless canceled in writing prior to the renewal date. Pricing remains locked as long as the membership remains active and in good standing.

4(b) New Membership Refunds

New memberships are eligible for a refund only within seventy-two (72) hours of the initial payment. After 72 hours, all payments are final and non-refundable, with no exceptions.

4(c) Membership Renewal Refunds

Once a renewal payment is processed, all charges are final and non-refundable. No refunds will be issued for renewals under any circumstances unless explicitly stated below.

You will receive an email reminder approximately seven (7) days prior to your renewal date.

Email Delivery Responsibility. You are solely responsible for ensuring the email address associated with your account is accurate and actively monitored, including checking spam, junk, promotions, filtered folders, and any other inbox categories. Failure to receive, view, or access renewal notices due to spam filtering, email provider issues, typos, mailbox limitations, or deliverability problems does not waive, alter, or create an exception to this refund policy.

4(d) Exceptional Circumstances

In rare and exceptional cases, a renewal refund may be considered within seven (7) days of the renewal payment and is subject to a fifty percent (50%) administrative fee. After this period, no refunds will be granted under any circumstances.

4(e) Failed Payments and Non-Payment

If payment cannot be processed and is not resolved within thirty (30) days, membership will be canceled. No refunds will be issued for cancellations due to non-payment.

5. Termination of Membership or Access

You may request cancellation of your membership in writing at any time. Cancellation becomes effective at the end of the current billing cycle, and no prorated refunds will be issued.

Florida Professionals Association may terminate or suspend access at its discretion. If termination occurs without a violation of these Terms, a prorated refund for the remaining portion of the billing cycle may be issued.

Termination does not relieve you of obligations incurred prior to termination.

6. User Content and Responsibility

You are solely responsible for all content you submit, post, upload, or otherwise make available through the services (“User Content”).

By submitting User Content, you grant Florida Professionals Association a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to use, reproduce, display, modify, distribute, and promote such content in connection with the services.

Florida Professionals Association reserves the right, but not the obligation, to remove or restrict any content at its discretion.

7. Acceptable Use and Conduct

You agree not to use the services to:

  • Post unlawful, deceptive, defamatory, harassing, or infringing content
  • Violate privacy or intellectual property rights
  • Send spam or unauthorized solicitations
  • Misrepresent identity or affiliation
  • Collect data about other users without consent
  • Disrupt platform security or functionality
  • Use automated posting, scraping, crawling, or data extraction tools without written permission

Violations may result in immediate suspension or termination.

8. Communications and Messaging

By submitting your contact information, you consent to receive emails, phone calls, and SMS messages related to membership, events, programs, and services.

Email and SMS Deliverability. You acknowledge that message delivery is not guaranteed and may be affected by carrier or provider filtering. You agree to maintain current contact information and to monitor your inbox and spam or junk folders.

9. Third-Party Tools, Content, and Integrations

Florida Professionals Association may integrate or link to third-party platforms, including but not limited to GoHighLevel, Pabbly, EngageBay, WordPress, BrilliantDirectories, payment processors, and event platforms.

We are not responsible for third-party content, services, data handling, or business practices. Your use of third-party tools is governed by their respective terms and policies.

10. Programs and Professional Engagements

Florida Professionals Association provides education, exposure, and connection opportunities only. We are not a party to any agreement between members, professionals, or consumers.

All services, transactions, and engagements are conducted solely between the participating parties.

11. Intellectual Property Rights

All content, trademarks, logos, graphics, videos, text, and digital assets owned by Florida Professionals Association are protected under U.S. and international law.

You may not copy, reproduce, distribute, modify, or exploit any content without prior written permission.

12. Brand and Content Licensing

By submitting logos, images, pricing, catalogs, or other brand assets, you affirm that you have the legal right to do so and grant Florida Professionals Association permission to use such materials across affiliated platforms, marketing, and promotions.

Florida Professionals Association retains full discretion regarding how and where content is displayed.

13. Disclaimer of Warranties

All services are provided “as is” and “as available.” Florida Professionals Association makes no guarantees regarding exposure, results, earnings, or outcomes.

To the fullest extent permitted by law, all express and implied warranties are disclaimed.

14. Limitation of Liability

To the maximum extent permitted by law, Florida Professionals Association shall not be liable for indirect, incidental, consequential, special, or punitive damages.

Total liability shall not exceed the amount paid for your current membership term or twenty-five dollars ($25), whichever is greater.

15. Indemnification

You agree to indemnify and hold harmless Florida Professionals Association, its officers, employees, affiliates, and agents from any claims arising out of your use of the services, submitted content, or violation of these Terms.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Florida. Venue for any dispute shall be Miami-Dade County, Florida.

17. Severability and Entire Agreement

If any provision of these Terms is deemed invalid, the remaining provisions remain in full force and effect.

These Terms constitute the entire agreement between you and Florida Professionals Association and supersede all prior agreements.

18. Violations and Enforcement

Violations may result in suspension, termination, legal action, or damages as permitted by law. Failure to enforce any provision does not constitute a waiver.
